End User License Agreement (EULA)
Use of the Minutely app is governed by Apple’s Standard Licensed Application End User License Agreement (Apple Standard EULA): apple.com/legal/internet-services/itunes/dev/stdeula — as supplemented by the terms below. In the event of a conflict between the Apple Standard EULA and these supplemental terms, the supplemental terms apply to the extent permitted by Apple.
1. Parties and subject matter
This agreement is concluded between you and the developer of the Minutely app (the “Licensor”), not with Apple. The Licensor, not Apple, is responsible for the app and its content. Apple has no obligation to furnish any maintenance and support services with respect to the app.
2. Scope of license
You are granted a limited, non-exclusive, non-transferable, revocable license to use Minutely on Apple devices that you own or control, in accordance with the usage rules set out in the App Store terms. The license does not permit you to:
- distribute the app or make it available over a network for simultaneous use on multiple devices outside Apple’s mechanisms (Family Sharing, etc.);
- sell, rent, lease, sublicense, or otherwise transfer the app to third parties;
- decompile, disassemble, or attempt to derive the app’s source code, except as expressly permitted by law;
- circumvent technical protection measures, free-usage quotas, or subscription access.
3. Subscriptions and purchases
Extended features are provided via the auto-renewable Minutely Pro subscription (Weekly $8.99 per week; Monthly $7.99 per month; Annual $79.99 per year with a 7-day free trial). Payment, auto-renewal, cancellation, and refunds are governed by App Store rules and described in Section 2 of the Terms of Use. You can turn off auto-renewal in your Apple ID settings at least 24 hours before the end of the current period.
4. Data and privacy
The app processes your recordings, transcripts, and summaries locally on the device; the Licensor does not collect your data. Details, including optional cloud services and subscription data handling (Apple, RevenueCat), are described in the Privacy Policy.
5. AI content
Transcripts and summaries are generated automatically and may contain errors. AI content is provided “as is” and does not constitute professional advice. You are responsible for verifying and using such content, and for the lawfulness of the recordings you make (including obtaining consent from recorded persons where required).
6. Maintenance and support
Support for the app is provided by the Licensor: support@minutely.app. The parties acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app.
7. Warranty
To the maximum extent permitted by law, the app is provided “as is”, without warranties. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you (if applicable); to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are the Licensor’s responsibility.
8. Product claims
The Licensor, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app, including: (a) product liability claims; (b) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
9. Intellectual property
In the event of any third-party claim that the app, or your possession and use of the app, infringes that third party’s intellectual-property rights, the Licensor, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
10. Legal compliance
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
11. Apple as third-party beneficiary
Apple and Apple’s subsidiaries are third-party beneficiaries of this agreement. Upon your acceptance of its terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this agreement against you as a third-party beneficiary thereof.
12. Termination
The license is effective until terminated by you or the Licensor. Your rights under this agreement terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the app and delete it.
